What Act on Limited Liability Companies (Gesetz betreffend die Gesellschaften mit beschraenkter Haftung - GmbHG) requires
This Act governs the German limited liability company (GmbH). The company is a legal person with independent rights and obligations that may hold property and sue and be sued (Section 13), and its share capital must amount to no less than 25,000 euros (Section 5). The Act regulates the formation of the company, the contributions of shareholders, and the preservation of share capital, prohibiting the payment to shareholders of assets required to maintain the share capital (Section 30). Managing directors must conduct the company affairs with the due care of a prudent businessperson and are jointly and severally liable to the company for damage arising from a breach of their duties (Section 43).
