What Council Directive 2001/23/EC of 12 March 2001 on the approximation of the laws of the Member States relating to the safeguarding of employees rights in the event of transfers of undertakings, businesses or parts of undertakings or businesses requires
This Directive safeguards employees rights in the event of the transfer of an undertaking, business or part of an undertaking or business to another employer (Article 1). On a transfer, the transferor rights and obligations arising from existing contracts of employment pass to the transferee (Article 3), and the transfer does not in itself constitute grounds for dismissal (Article 4), subject to specific rules where the transferor is the subject of insolvency proceedings (Article 5). It preserves the status and function of employee representatives (Article 6) and requires both transferor and transferee to inform and, where measures are envisaged, consult the representatives of the employees affected (Article 7).
